GCP Infrastructure Fund Limited, a Jersey Open Ended Investment Company, is listed on the Channel Islands Stock Exchange (CISX).

Subscriptions

The Company accepts additional subscriptions monthly. Applications must be received by the 24th day of the month, for subscription on the last business day of each month. The minimum initial subscription is £25,000. The minimum for additional subscriptions is £10,000.

Redemptions

Shareholders may apply to redeem their shares on a monthly basis from September 2009. The Redemption Days for redemptions are the last Business Day in each month (or such other or additional days as the Directors may determine). Requests to redeem Shares must be made in writing to the Administrator at least four weeks before the Redemption Day is intended to occur. Note that redemptions prior to September 2010 may carry a redemption penalty of up to 5%.

Business description

The Company, a limited liability, Jersey-incorporated, open-ended investment company, provides a listed, tax-efficient exposure to the UK infrastructure market, in particular the PFI (Private Finance Initiative) market.

This is achieved primarily through the acquisition of subordinated debt instruments issued by infrastructure Project Companies, secured against contracts for the provision of infrastructure assets such as hospitals and schools to entities such as NHS Trusts and local authorities in the UK.

Directors

Mr Clive Spears (Chairman)
Clive Spears, a Jersey resident, is a career qualified corporate banker, with 32 years experience with the Royal Bank of Scotland Group of which the last 18 years were spent in Jersey until retirement in 2003. Relevant experience has spanned Corporate Finance, Treasury Products, Global Custody and Trust & Fund Administration. Additional experience in audit and compliance has also accrued during the period. He currently sits on the boards of a number of local financial services businesses and funds.

Mr. Paul de Gruchy
Paul de Gruchy, a Jersey resident, is a qualified lawyer currently working as Head of Legal at a global financial services business in Jersey. He has extensive experience in the financial services sector, in particular in the area of offshore funds. He has held senior positions at the Jersey Economic Development Department and the Jersey Financial Services Commission (the regulator of the Company).

Mr. Trevor Hunt
Trevor Hunt, a Jersey resident, has extensive experience in the offshore financial services fund administration sector. Mr. Hunt worked for HSBC for over 30 years in various senior management positions, in particular within the open-ended and closed-ended offshore funds industry. Mr. Hunt retired from HSBC in 2003 and spent six years as a director of Capita Financial Administrators (Jersey) Limited and of other Capita entities before leaving in 2009. He is currently head of Partners & Channels at a major global financial services business and holds a number of directorships in respect of a variety of funds and fund management companies. He holds the Chartered Institute of Bankers (Trustee Diploma), and is regulated by the JFSC for the provision of services as a non-executive director.
